Needle Autoship Terms

These 12-month autoship program Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Induction Therapies, LLC (“Company,” “we,” “us,” or “our”) governing your enrollment in and use of the Company’s fixed-term professional microneedling supply 12-month autoship program (“12-month autoship program”).

The 12-month autoship program is offered exclusively to licensed medical professionals and involves prescription-only medical devices.

By purchasing or enrolling in the 12-month autoship program, you acknowledge that you have read, understood, and agree to be bound by these Terms.

The 12-month autoship program is a fixed-term 12-month autoship program with a duration of twelve (12) months.

The 12-month autoship program consists of six (6) shipments delivered approximately every two (2) months during the 12-month autoship program term. Each shipment includes:

• Two (2) 24-packs of prescription microneedling needle cartridges,

• One (1) complimentary 8.0 fl oz bottle of PHAZ Hyaluronic Acid Serum, and

• Fifty (50) complimentary trifold brochures

PHAZ Hyaluronic Acid Serum and the complimentary brochures are provided as promotional items, have no cash value, and may be modified or discontinued at the Company’s discretion.

The 12-month autoship program does not automatically renew.

At the conclusion of the twelve (12) month term, the 12-month autoship program will end automatically, and no further shipments or charges will occur unless the Customer affirmatively elects to purchase a new 12-month autoship program.

You do not need to cancel the 12-month autoship program to prevent renewal or future charges. Charges and shipments stop automatically at the end of the 12-month autoship program term.

By enrolling in the 12-month autoship program, you agree to a fixed, twelve (12) month commitment.

Except as required by applicable law, the 12-month autoship program is not eligible for early termination once purchased. No refunds or credits will be issued for unused shipments or any remaining portion of the 12-month autoship program term.

Failure to use, receive, or accept shipments does not relieve you of your payment obligations.

By enrolling in the 12-month autoship program, you represent and warrant that you hold a valid medical license permitting the purchase and use of prescription medical devices in your jurisdiction, and that you will provide proof of your medical license to the Company upon request.

The Company reserves the right to suspend or cancel your 12-month autoship program if your medical license cannot be verified or is revoked.

You agree to use the products solely for professional microneedling procedures in compliance with applicable laws, regulations, and manufacturer instructions.

5.1 Pricing

12-month autoship program pricing is disclosed at the time of purchase and includes taxes where applicable.

5.2 Billing and Payment

The 12-month autoship program consists of six (6) shipments delivered approximately every two (2) months.

An initial payment is charged at the time of purchase. Thereafter, your payment method will be charged every two (2) months on the 14th of the applicable billing month, prior to each scheduled shipment.

By enrolling in the 12-month autoship program, you authorize the Company to charge your selected payment method in accordance with this billing schedule.

If a scheduled billing date falls on a weekend or bank holiday, the charge may be processed on the next business day or prior business day.

If a payment fails or is reversed, shipments may be delayed or suspended until payment is successfully processed, and you remain responsible for all outstanding balances.

Shipments are scheduled approximately every two (2) months.

Shipments are expected to ship on or about the 15th of the applicable shipment month, following successful processing of the scheduled billing.

Shipment dates are estimates and not guaranteed.

The Company is not responsible for delays caused by carriers, weather, supply chain disruptions, regulatory delays, or events beyond its reasonable control.

Title and risk of loss transfer to you upon delivery to the carrier.

You are responsible for providing and maintaining a current and accurate shipping address. Address changes must be submitted at least 10 days prior to the next scheduled shipment.

The Company is not responsible for shipments delivered to an incorrect or outdated address provided by the Customer.

Due to the nature of the products:

• All sales are final

• Products are not eligible for return or refund

Replacements may be issued at the Company’s discretion for incorrect or damaged shipments if reported within 10 days of delivery.

PHAZ Hyaluronic Acid Serum and the complimentary brochures are provided at no additional charge and are not eligible for return, exchange, or substitution due to preference or convenience.

Nothing in these Terms limits the Company’s obligations under applicable law with respect to defective or nonconforming products.

The needle cartridges provided through the 12-month autoship program are intended for professional microneedling use only by licensed practitioners.

All products, including the complimentary PHAZ Hyaluronic Acid Serum and complimentary brochures provided with each shipment, are provided “as-is” and are not eligible for replacement or substitution unless required by law.

You assume all risks associated with the handling and use of the products in accordance with applicable laws, regulations, and manufacturer instructions.

The Company makes no representations regarding the suitability of the products for any particular treatment or patient condition beyond their intended use.

The needle cartridges are consumables for Class II medical devices and are prescription-only. Customers must comply with all applicable regulatory requirements, including handling, storage, and use consistent with FDA and other relevant guidelines.

The Company does not provide medical advice, diagnosis, or treatment.

Any information provided by the Company is for informational purposes only and does not replace independent professional medical judgment.

You are solely responsible for determining appropriate use, protocols, patient selection, contraindications, and treatment outcomes.

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the 12-month autoship program or products.

The Company’s total aggregate liability shall not exceed the total amount paid by you for the 12-month autoship program during the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, or expenses arising from:

• Your use or misuse of the products

• Your violation of these Terms

• Your violation of applicable laws or regulations

The Company may modify these Terms from time to time. Changes will be effective upon posting. Continued participation constitutes acceptance of the modified Terms.

These Terms shall be governed by the laws of the State of Kentucky, without regard to conflict-of-law principles.

Any legal action shall be brought exclusively in the state or federal courts located in Jefferson County, Kentucky.

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement regarding the 12-month autoship program and supersede all prior agreements.
